Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of the website and services offered by Quaruty, LLC (“Quaruty,” “we,” “us,” or “our”) under the name NeuralAlive (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

Use of the website

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the public portions of the Service for your personal, non-commercial use. Unless we expressly permit otherwise, you may not:

• Copy, modify, distribute, or create derivative works from our materials except as necessary to use the Service as intended.
• Use the Service for any unlawful purpose or in violation of these Terms.
• Attempt to reverse engineer, decompile, or extract source code from the Service except where applicable law prohibits such restrictions.
• Use automated means (including bots or scrapers) to access the Service in a way that burdens or disrupts our systems.
• Remove or alter any proprietary notices on the Service.

We may suspend or terminate your access if you violate these restrictions or for other reasons described in these Terms.

Description of the service

NeuralAlive allows you to upload still images and receive generated video outputs. The Service may include watermarked previews, optional paid unlock of full-quality files, and related features. We may change, suspend, or discontinue features with reasonable notice where practicable. The Service is provided online; availability may vary by region, device, and network conditions.

No account required for basic use. You may use certain features without registering an account. We may assign a browser-based identifier (for example stored in localStorage) to associate requests and fulfill orders. Creating an account may be added in the future; if so, additional terms may apply at that time.

Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service and to make purchases. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Your content

You retain ownership of content you upload. You grant Quaruty a non-exclusive, worldwide, royalty-free license to host, process, reproduce, and display your content solely to operate, improve, and provide the Service (including generating previews and deliverables), and to comply with law. You represent and warrant that you have all rights necessary to upload the content and that it does not infringe third-party rights or violate applicable law.

Acceptable use

You agree not to:

• Upload or generate unlawful, harassing, defamatory, obscene, hateful, or exploitative content, or content that depicts minors in a sexual or abusive context.
• Impersonate others, mislead others as to the origin of content, or create deceptive “deepfake” style media for harmful or unlawful purposes.
• Circumvent payment, access controls, rate limits, or technical protections.
• Interfere with or disrupt the Service, other users, or underlying networks.

We may remove content, suspend access, or cooperate with authorities where appropriate.

Fees, payment, and digital delivery

Paid features are offered as described at checkout. Prices are shown in U.S. dollars unless otherwise stated and may exclude taxes, which you are responsible for where applicable. Payments are processed by third-party processors; their terms and privacy policies also apply.

Digital products (such as unlocked video files or bundles) are delivered electronically. By purchasing, you request immediate performance where permitted by law, which may affect withdrawal or cooling-off rights in your jurisdiction. See our Refund Policy for refund-related information.

Third-party services

The Service may rely on hosting, payment, analytics, AI infrastructure, or other third-party components. Those providers operate under their own terms. We are not responsible for their acts, omissions, or outages beyond what we expressly assume in these Terms.

Intellectual property

The Service, including software, branding, logos, and documentation, is owned by Quaruty and its licensors. Except for the license to your content and rights expressly granted in deliverables you lawfully purchase, these Terms do not transfer any ownership rights to you.

Disclaimer

THE SERVICE AND ALL MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GENERATED OUTPUTS ARE PROBABILISTIC AND MAY NOT MEET YOUR EXPECTATIONS; WHEN THE SERVICE FUNCTIONS AS DESIGNED, THAT DOES NOT BY ITSELF CONSTITUTE A FAILURE OF THE SERVICE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUARUTY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.

Indemnification

You will defend, indemnify, and hold harmless Quaruty from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

Governing law and venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. You agree that the state and federal courts located in Delaware have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there, except where prohibited by applicable law.

General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and Refund Policy where referenced, constitute the entire agreement between you and Quaruty regarding the Service and supersede prior agreements on the same subject. Our failure to enforce any right is not a waiver of that right.

Changes to terms

We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Continued use after changes become effective constitutes acceptance, except where additional consent is required by law. If you do not agree, you must stop using the Service.
